# LICENSED AGREEMENT

**COPYTRADER.PW PLATFORM**

This Licensed Agreement ("Agreement") is a legal agreement between you (either an individual or a legal entity) ("Licensee") and the owner of the CopyTrader.pw Platform ("Licensor") regarding the use of the CopyTrader.pw platform and its related components, services, and documentation ("Software").

By accessing, deploying, or using any part of the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

## 1. DEFINITIONS

**1.1. Software** — the CopyTrader.pw platform including its web interface, backend systems, APIs, connectors, modules, documentation, and any updates or modifications.

**1.2. Licensee** — the individual or entity that uses or operates a deployed version of CopyTrader.pw, including administrators of white-label instances.

**1.3. Project** — an isolated environment within the platform representing a set of users, configurations, and operational logic.

**1.4. Trader / Investor** — roles within a Project, determined and configured by the Licensee.

## 2. LICENSE GRANT

**2.1. Scope:**
Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to use, host, and operate the Software for internal business purposes or for operating white-label systems.

**2.2. Restrictions:**
Licensee shall not:

* Decompile, reverse-engineer, or disassemble any part of the Software;
* Use the Software for unlawful or fraudulent purposes;
* Remove or alter any proprietary notices;
* Sub-license, resell, or lease the platform to third parties unless explicitly agreed.

## 3. OWNERSHIP

The Software is licensed, not sold. All intellectual property rights, including but not limited to source code, design, algorithms, and trademarks remain with Licensor.

## 4. SUPPORT AND MAINTENANCE

Support levels, update policies, and maintenance responsibilities shall be defined in a separate Service Level Agreement (SLA) if applicable.

## 5. DATA AND CONFIDENTIALITY

**5.1. User Data:**
All user data (e.g., API keys, trade histories, subscriber info) processed by the platform remains the property of the Licensee and/or end-users. Licensor does not access or process user data without explicit consent.

**5.2. Confidentiality:**
Each party shall treat any technical, business, or commercial information received during the course of this Agreement as confidential and shall not disclose such information without prior written consent.

## 6. FEES AND BILLING

Usage of the platform may be subject to licensing fees, subscription charges, or volume-based billing as defined in the commercial terms or service contract.

## 7. WARRANTIES AND LIABILITY

**7.1. No Warranty:**
The Software is provided "as is" without any warranty, express or implied, including but not limited to fitness for a particular purpose or uninterrupted performance.

**7.2. Limitation of Liability:**
Licensor shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising from the use of the Software.

## 8. COMPLIANCE AND USAGE TERMS

Licensee is solely responsible for ensuring that their use of the platform complies with applicable local laws, especially in relation to financial regulation, data privacy, and user consent.

## 9. TERMINATION

Licensor reserves the right to suspend or terminate the license if the Licensee violates this Agreement. Upon termination, the Licensee must cease all use of the Software and destroy all copies under their control.

## 10. GOVERNING LAW

## 11. ENTIRE AGREEMENT

This document constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes any prior communications or agreements.
